NOTICE: Vote on proposed amendments to District 7450 bylaws

When our district incorporated in 2010 The Rotary Club of West Chester adopted the Rotary International District 7450, Inc. Bylaws as our district’s guidance document. At its July 12, 2011 meeting, the District Board of Directors approved several amendments to the bylaws to recommend to our clubs for their approval. The bylaws require that 2/3 of our clubs approve an amendment to effect the proposed change to the bylaws.
There are 6 proposed amendments. Four of these proposed amendments change the titles of 4 of our district committees to conform to the Rotary International designation for these committees.
Two of these proposed are more substantive:
One proposed amendment increases the term for the 3 at-large Directors from one year to 3 years to allow for more continuity on the board and enable these Directors to better represent their areas. This proposed amendment also charges the District Nominating Committee with conducting the annual election for the at-large Director position.
The second substantive amendment increases the number of members on the District Rotary Foundation Committee from the current 10 members to 19 members. The new members are the Area Coordinators who are charged with supporting the clubs in their areas in matters regarding the Rotary Foundation and defining these duties.
The Rotary Club of West Chester Board of Directors recommends passage of the proposed amendments.
During our meeting on December 22nd, 2011 we will vote on the proposed amendments to the District 7450, Inc. Bylaws.
A motion to accept all proposed changes by unanimous consent will be entertained.If that motion fails, each of the 6 proposed changes will be voted on individually.A 2/3 majority of the members present and those voting by email is required to pass.

If you are unable to attend the meeting on December 22nd, 2011, you may cast your vote by sending an email to the Club Secretary which clearly indicates your position (Approve or Disapprove) for each of the 6 proposed amendments.
Only email votes received by December 21st, 2011, from active members who do not attend the meeting will be counted.
